IMPORTANT NOTICE

THIS AGREEMENT CONTAINS A CLASS ACTION WAIVER. THIS AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE ARBITRATION AND CLASS ACTION WAIVER SECTION BELOW. PLEASE READ CAREFULLY.


1. PREAMBLE

1.1 Purpose and Scope of the Terms of Use

These Terms of Use (“Terms”) define the conditions under which users, whether individuals or professionals, may access and use the Vitefait platform and its services.

The platform provides an intermediary service allowing individuals to quickly find qualified professionals, and professionals to offer their expertise.

These Terms govern:

  • The rights and obligations of users and the platform;

  • Operational rules ensuring a smooth and secure experience;

  • The platform’s limited liability as a technical intermediary.

These Terms constitute a binding agreement between the user and ÉVOLUSS, the company operating the Vitefait platform.

Vitefait’s Terms of Use are translated into several languages. In case of dispute, claim, legal action, or inconsistency between translations, the French version shall prevail over any other translation or version.

The platform is accessible at: https://www.vitefait.fr and https://www.vitefait.com, and operates under the trade name “Vitefait.”
It is operated by
ÉVOLUSS, a simplified joint-stock company (SAS) with a share capital of €200.00, registered under RCS number 98238554400019, headquartered at 1 rue Marguerin, 75014 Paris.
ÉVOLUSS holds the exclusive operating license for the “Vitefait” brand name and is solely responsible for the platform’s technical, commercial, and legal management.

Therefore, any reference to “Vitefait” in these Terms shall be understood as referring to ÉVOLUSS, the legal operator of the platform. All rights and obligations arising from use of the platform pertain exclusively to ÉVOLUSS. Any claim, action, or proceeding relating to use of the platform must be directed solely against ÉVOLUSS, which bears full operational responsibility.


1.2 Description of the Platform and Services

Vitefait is a general-purpose online platform connecting individuals and professionals for various services, whether urgent or scheduled.

The platform provides:

  • Quick and intuitive access to post or respond to service requests;

  • Free publication and visibility of professional services and client needs;

  • Handling of urgent situations through an optimized interface;

  • Secure communication tools to facilitate user interactions;

  • A review and rating system ensuring service provider reliability.

Vitefait acts solely as an intermediary and does not itself provide or guarantee the services offered by users.


1.3 Acceptance and Enforceability of the Terms of Use

By accessing the Vitefait platform, the user acknowledges having read and accepted these Terms without reservation.

Acceptance is expressed through:

  • Explicit validation upon registration;

  • Continued use of the platform’s services.

These Terms govern access, use, and participation in the platform operated by Vitefait or its affiliates (“Vitefait”, “we”, “our”, or “us”). Use of the platform implies full acceptance of these legally binding Terms.

Vitefait’s failure to enforce any provision at any given time does not constitute a waiver of its right to enforce it later. If any provision is held invalid, the remaining provisions remain in full force and effect.

By using the platform, you agree that Vitefait may verify your background, conduct business credit checks, or confirm your identity in connection with the services offered.

Modification of the Terms

Vitefait reserves the right to modify these Terms at any time without prior notice. Users will be notified through:

  • Publication of updated Terms on the platform;

  • Direct communication (email, notification, etc.);

  • A prompt upon logging into their account.

Modifications take effect 15 days after first notification. Continued use of the platform after this period constitutes full acceptance of the updated Terms. Users who refuse the changes may terminate their account as provided herein.

Acceptance Clause:
Please read these Terms carefully. By using the Vitefait platform, you agree to be bound by them. If you do not accept these Terms, you are not authorized to access or use the Vitefait platform.


SUPPLEMENTARY TERMS AND POLICIES

Users are encouraged to review Vitefait’s Privacy Policy and other policies available on the website. In the event of any conflict, the specific policy shall prevail over these Terms.


2. DEFINITIONS

2.1 Defined Terms

  • Vitefait: Platform connecting individuals and professionals

  • ÉVOLUSS: Company holding the Vitefait operating license

  • Collective Content: All user and Vitefait content

  • Content: Text, graphics, images, music, software, audio, video, information, or any other material available on the platform

  • User(s): Any person using the platform to find or offer professional services

  • Individual(s)/Client(s): Person seeking professional services through the platform

  • Visitor(s): Person browsing the platform without registration

  • Fee or Subscription: Amount billed by Vitefait to a user

  • Platform: Websites, mobile applications, and software provided by Vitefait

  • Privacy Policy: Available at https://www.vitefait.fr/politiques/

  • Service(s) or Task(s): Services offered or requested by users

  • Professional(s): Users offering or providing services

  • Vitefait Content: Content provided by Vitefait

  • User Content: Content submitted by users

  • API: Set of rules, protocols, and tools allowing different systems to communicate


2.2 Distinction Between Individual, Professional, and Platform

Individual (Client):
A private person acting in their own name and for non-professional purposes, seeking services via the Vitefait platform.
Example: An individual looking for an electrician, gardener, or tutor.

Professional:
A person or legal entity engaged in an economic activity, registered with the trade register or equivalent authority, offering services via the platform.
This includes:

  • Companies

  • Freelancers

  • Self-employed workers

  • Independent contractors

Professionals act on their own behalf and are solely responsible for the services they provide.

Platform (Vitefait):
The digital interface operated by ÉVOLUSS under the trade name “Vitefait,” acting solely as a technical intermediary.

Platform’s Role:

  • Facilitate connections between individuals and professionals

  • Provide technical tools (service listings, messaging, reviews, etc.)

Platform Limitations:

  • Vitefait does not intervene in service performance

  • Vitefait does not guarantee service quality or payment


3. Access and Registration

3.1 General Access Conditions

Vitefait is available online to anyone who:

  • Is at least 18 years old;

  • Has legal capacity (or is represented by a legal guardian);

  • Has internet access and a compatible device (computer, smartphone, tablet).

Some features may require a user account. The platform reserves the right to restrict or suspend access for users who violate these Terms.

Users may browse the platform without creating an account; however, participation in certain features requires password-protected registration. Accounts may be created using third-party services such as Facebook or Google.

The user agrees to provide accurate, up-to-date, and complete information during registration and to maintain it as such. The responsibility for protecting the Vitefait password, and, where applicable, the password of third-party accounts, rests entirely with the user. Any unauthorized use must be reported to Vitefait immediately. Losses resulting from unauthorized use of the account are not the responsibility of Vitefait. The user is responsible for any losses arising from their Vitefait account or other linked accounts due to unauthorized use resulting from their breach of these Terms.


3.2 Account Creation and User Obligations

To access the services offered by Vitefait, users must create an account by providing accurate and complete information. Account creation includes:

  1. Providing mandatory information (first name, last name, email address, phone number, etc.);

  2. Validating an email address and phone number;

  3. Accepting these Terms of Use.

Each user agrees to:

  • Update their information if it changes;

  • Keep login credentials (username, password) confidential;

  • Immediately report any fraudulent use of their account to the platform.

The user is responsible for all actions taken from their account. Vitefait cannot be held liable for unauthorized use resulting from user negligence. Any unauthorized use must be immediately reported to Vitefait. Losses from such unauthorized use are not the responsibility of Vitefait. The user is responsible for any losses arising from their Vitefait account or other linked accounts due to unauthorized use resulting from their breach of these Terms. Account transfer is only permitted with written authorization from Vitefait, in accordance with its policies and procedures.


Account Registration and Other Submissions

Users may access the platform without creating an account. However, certain features require a password-protected account. Accounts can be created using third-party services such as Facebook or Google. Users must provide accurate, up-to-date, and complete information during registration and maintain it as such. Responsibility for protecting the Vitefait password, and if applicable the third-party account password, rests entirely with the user. Unauthorized use must be reported immediately. Losses from unauthorized use are not Vitefait’s responsibility. Account transfer is only allowed with written permission from Vitefait in accordance with its policies.


3.3 Verification and Validation of Profiles

Vitefait may, at its sole discretion, verify information provided during account creation, including:

  • Verification of identity or professional qualifications;

  • Validation of contact details;

  • Verification of information submitted on the platform.

These checks are intended to build trust between users but do not engage Vitefait’s liability regarding the accuracy of the information provided. Vitefait reserves the right to refuse registration or suspend an account if there is doubt regarding the compliance of the information or adherence to these Terms.


3.4 Account Deletion or Deactivation

A user may request account deletion at any time by contacting Vitefait customer support or using the account deletion process provided in their user account space.

The platform may deactivate or delete an account for the following reasons:

  • Non-compliance with these Terms;

  • Providing false information during registration;

  • Suspicious or fraudulent activity;

  • Extended inactivity (as specified in internal policies).

Account deletion or deactivation does not automatically remove data unless legally required. Some information may be retained to comply with legal obligations or resolve disputes.

Vitefait reserves the right to limit, block, suspend, deactivate, or cancel an account, in whole or in part, at its discretion, with or without reason, and with or without notice. Consequences of termination may include account deactivation and disclosure of the reason to other users.


4. Use of the Platform

4.1 General Operation of Intermediary Services

Access and use of the platform are limited to persons 18 years or older capable of entering into legally binding contracts. Professionals declare that they are qualified, experienced, licensed, certified, insured, and compliant with applicable laws. Vitefait does not guarantee professional services.

Vitefait acts as an intermediary to connect:

  • Individuals with specific service needs;

  • Professionals offering their services.

The general process is as follows:

  1. Search or Post Request/Offer: Users can browse services or post their needs/offers.

  2. Connection: Interested professionals respond to individual requests, or vice versa, via platform tools.

  3. Direct Interaction: Users communicate through integrated messaging to agree on service terms.

  4. Service Execution: Once agreed, the service is performed outside the platform.

  5. Evaluation: After the service, a review system allows users to rate their experience.


4.2 Posting Requests and Offers

Users may post requests or offers directly on the platform.

Posting Conditions:

  • Listings must be clear, complete, and compliant with applicable law;

  • Users must provide accurate information regarding their needs or offered services;

  • Listings that are illegal, misleading, or offensive are strictly prohibited.

Moderation Process:

  • Vitefait reserves the right to review postings and refuse or remove those that violate the rules;

  • Listings may be suspended for verification if reported by another user.

Cost: Posting requests is free for individuals. Posting offers is free for professionals except for specific premium or urgent services.


4.3 Communication Between Users

The platform provides an integrated messaging system for user communication.

Messaging Rules:

  • Communication must remain professional, respectful, and relevant;

  • Harassment, spam, or inappropriate content is prohibited.

Confidentiality:

  • Users are responsible for information shared via messaging;

  • Vitefait does not monitor message content unless abusive behavior is reported.

Security: Sensitive information (e.g., banking details) should not be shared through messaging.


4.4 Reviews and Ratings

After a service is completed, users may leave a review.

Review Process:

  • Both individuals and professionals may provide a rating and comment;

  • Reviews increase transparency and trust on the platform.

Review Rules:

  • Reviews must be based on real experiences and honest opinions;

  • Comments with insults, defamation, or irrelevant content will be moderated.

User Responsibility:

  • Users are responsible for the content of their reviews;

  • Vitefait does not guarantee the truthfulness of reviews except in cases of reported abuse or fraud.

Reviews are public and visible to all platform users, playing a key role in selecting service providers or clients.

5. User Commitments and Responsibilities

5.1 General Obligations of Individuals

Individuals using the Vitefait platform agree to:

  • Post requests that are clear, precise, and aligned with their actual needs;

  • Respond respectfully and transparently to professionals contacting them through the platform;

  • Not cancel an accepted service without a valid reason or without notifying the professional within a reasonable timeframe;

  • Use the platform solely for personal, non-commercial purposes.

Individuals must ensure respectful and professional behavior in interactions with other users.


5.2 General Obligations of Professionals

Professionals using the Vitefait platform agree to:

  • Provide services in compliance with laws and regulations applicable to their activity (e.g., insurance, professional qualifications, certifications, licenses);

  • Respect agreed deadlines, prices, and terms with individuals;

  • Maintain a high standard of quality and professionalism in their services, in accordance with best practices and other applicable quality standards;

  • Regularly update their offers and availability;

  • Regularly update their certifications, authorizations, and skills to remain compliant with legislation and customer expectations;

  • Ensure their profile accurately reflects their true identity and professional qualifications;

  • Accept being placed in competitive situations when applicable.

Professionals are solely responsible for the services they provide and the commitments made to individuals.

Professionals using the Vitefait platform acknowledge and certify that:

  • By registering on the platform, they have completed all necessary declarations with relevant authorities (e.g., Commercial Register, Professional Registry, or any other legally required body depending on their status);

  • They are legally established professionals authorized to conduct their activity.

Compliance with Legal and Regulatory Obligations
Every professional using Vitefait agrees to operate strictly in accordance with all applicable laws, regulations, codes of conduct, and obligations related to their profession. This includes, but is not limited to, professions subject to specific legal or ethical frameworks (e.g., medical, paramedical, legal, notarial, accounting, financial, or any regulated activity).

Vitefait does not provide systematic verification or validation of qualifications, authorizations, or diplomas, nor does it offer any regulated services.

However, Vitefait may perform arbitrary checks and verifications, possibly at random intervals, if deemed necessary for the proper functioning and in the interest of the platform or its users.

The professional acknowledges that their sole responsibility concerns the legality and compliance of their practices. In case of non-compliance, they alone bear the consequences, and Vitefait cannot be held liable, directly or indirectly.

Professionals, whether regulated or not, acknowledge when registering on the platform that they are informed of the platform’s operational methods, advertising rules, and information dissemination procedures and accept that they alone are responsible if their advertising practices do not comply with applicable regulations or protocols.

Specific Exclusions
It is expressly prohibited to use Vitefait for telemedical consultations, legal or psychological advice, or any other regulated activity requiring specific authorization that the platform is not permitted to offer or that the professional is not authorized to perform.

Any professional violating this prohibition assumes full personal responsibility toward both users and authorities. Vitefait cannot be held liable, directly or indirectly. Accounts may be suspended or deleted without compensation of any kind, financial or otherwise.

Prohibition of Undeclared Work and Legal Obligations:

  • Professionals acknowledge that undeclared or illegal work is strictly prohibited on Vitefait;

  • They commit to complying with all applicable laws and regulations, including reporting services and income;

  • If a professional becomes aware that they are not compliant with legal obligations, they must immediately delete their account.

No Recourse Against Vitefait:

  • Professionals acknowledge that Vitefait cannot be held responsible for the consequences of their actions or omissions due to non-compliance with legal or regulatory obligations;

  • No claim or compensation may be sought from Vitefait in case of administrative, civil, or criminal penalties resulting from the professional’s actions.

Sanctions:

  • Vitefait reserves the right to suspend or delete any account in case of non-compliance or doubt regarding the legality of the activity.


5.3 Platform Conduct Rules

All users, whether individuals or professionals, must:

  • Refrain from defamatory, insulting, or discriminatory remarks toward others;

  • Not post inappropriate, offensive, or illegal content;

  • Not use the platform for fraudulent or deceptive activities;

  • Respect others’ privacy, avoiding unsolicited contact outside agreed services.

Mutual respect and good faith are essential for a positive experience for all users.


5.4 Accuracy of Information Provided

Vitefait users must provide accurate and truthful information during registration or when posting requests/offers. This includes:

  • Accuracy of personal details (name, address, phone number, etc.);

  • Honesty regarding declared qualifications and professional experience;

  • Accuracy of service descriptions or expressed needs.

Vitefait reserves the right to suspend or delete accounts in case of false declarations.


5.5 Prohibited Actions

The use of Vitefait is strictly regulated. The following are prohibited:

1. Fraud and Circumvention of the Platform:

  • 1-Bypassing platform functionalities to avoid obligations;

    2-Providing false information or impersonating a third party.

2. Posting Illegal or Inappropriate Content:

  • 1-Posting unlawful advertisements (undeclared work, discriminatory content, etc.);

    2-Disseminating false or misleading information.

3. Unauthorized or Illegal Activities:

  • 1-Promoting illegal activities;

    2-Collecting other users’ personal data without explicit consent.

Users may not:

  • 1-Use another person’s account or misrepresent their identity;

    2-Use automated systems to access the platform without written approval;

    3-Copy or misuse platform information;

    4-Take actions that could overload platform infrastructure;

    5-Circumvent payment obligations;

    6- Collect or sell personal information without authorization;

    7-Violate applicable laws;

    8-Ignore communications or fail to respond to requests;

    9-Solicit or recruit improperly;

    10-Undertake illegal or inappropriate actions, including posting objectionable content;

    11-Advertise unrelated or inappropriate services;

    12-Post content that undermines user experience, e.g., links to non-Vitefait apps, purchasing services off-platform, or promoting services not offered on the platform.

It is also prohibited to compromise the accuracy or effectiveness of reviews or rating systems. Users must honor their contractual commitments and not fail to perform purchased services unless another party materially breaches the agreement. Fraudulent activity, off-platform billing, refusal to provide paid services, creating multiple accounts without authorization, bypassing platform payments, or other incompatible actions are forbidden.

Vitefait does not endorse or guarantee any user or professional. No agency, partnership, or employment relationship is created through platform use. Users must provide accurate information. Life or professional advice is not exhaustive and carries no guarantee. Illegal activity should be reported to relevant authorities.

Vitefait reserves the right to suspend, block, or delete accounts for violations, without prejudice to legal actions.

6. Role and Responsibilities of the Platform

Responsibility of Vitefait

The use of the platform, services, or collective content is entirely at the user’s and visitor’s own risk. Vitefait has no obligation but reserves the right to monitor or review user content, as well as to perform identity, background (including criminal), or registered sex offender checks on any user, including service professionals and individuals. The platform is provided “as is,” without any express or implied warranties.

Vitefait, its affiliates and subsidiaries, and their respective officers, directors, employees, and agents are not responsible for the accuracy of information on profile pages, service listings, or any other professional content. They explicitly disclaim any warranty or liability, including merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement. Vitefait is only responsible for content it has itself edited. No liability or warranty arising from the course of trade or usage is given. Furthermore, no guarantee or representation is made regarding the quality, fitness, truthfulness, accuracy, or completeness of any information or material contained or presented on the platform, including collective content.


Limitation of Liability

You acknowledge and agree that, to the maximum extent permitted by law, all risks arising from your access to and use of the platform and collective content, your offering or provision of services, or your request or receipt of services via the platform, as well as any contact with other Vitefait users or third parties, whether in person or online, remain with you. Neither Vitefait nor any party involved in creating, producing, or delivering the platform shall be liable, whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, even if Vitefait was informed of the possibility of such damages. This applies even if any limited remedy stated herein does not achieve its essential purpose. Specific points include, but are not limited to:

(a) Any incidental, special, exemplary, or consequential damages, including loss of profits;
(b) Service interruptions, computer damage, or system failure;
(c) Costs of replacement products or services;
(d) Any injury or emotional distress arising from or related to these conditions;
(e) Use or inability to use the platform, services, or collective content;
(f) Communications, interactions, or meetings with other users or individuals resulting from your platform usage;
(g) Your offering or provision of services or request or receipt of services via the platform.

In no event shall the total and aggregate liability of Vitefait, its subsidiaries, and their officers, directors, employees, and agents arising from or related to the conditions, platform, services, and/or collective content, or use of or inability to use the platform or collective content, exceed the total amount of fees actually paid by you to Vitefait. If no payments have been made, this amount shall be €100. Certain jurisdictions do not allow liability limitations; therefore, the above limitation may not apply to you. In jurisdictions that permit liability limitations, the above limitation fully applies.


Indemnification and Release

You agree to release, defend, indemnify, and hold harmless Vitefait and its affiliates and subsidiaries, along with their officers, directors, employees, and agents, from any claims, liabilities, damages, losses, and expenses arising from or related to:
(a) your violation of these Terms;
(b) your user content;
(c) your interactions with any user;
(d) your request, receipt, offering, or provision of services, including any injury, loss, or damage of any kind arising from these services.

Notwithstanding the above, if you reside in a jurisdiction where such provisions are prohibited, you agree only to release, defend, indemnify, and hold harmless Vitefait and its affiliates and subsidiaries from and against any third-party claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising from or related to your violation of these Terms.


General

Force Majeure: Except for payment obligations, neither Vitefait nor you shall be liable to each other for any delay or failure to perform under these Terms due to causes beyond your or our control, without fault or negligence. Such causes may include, but are not limited to, fires, floods, earthquakes, strikes, unavailability of necessary utilities, power outages, epidemics, acts of war (declared or undeclared), acts of regulatory authorities, or other disasters. Subscription fees remain due even in cases of widespread economic slowdown unless legally required otherwise. The occurrence of such events or restrictive measures by public authorities shall not constitute force majeure suspending or releasing obligations. Furthermore, personal causes preventing the use of Vitefait services (e.g., illness, strike) do not exempt professionals from their obligations to Vitefait.

No Third-Party Beneficiaries: Unless explicitly stated otherwise, there are no third-party beneficiaries under these Terms.

Contact and E-SIGN Consent:
You agree that Vitefait may provide notifications, including updates to these Terms, via email, regular mail, or posting on the platform. With your consent, Vitefait, users, service professionals, or others may contact you by phone or SMS. By agreeing to receive such communications, you also consent to electronic recordkeeping. Consent may be revoked by emailing support@vitefait.fr with “Revoke Electronic Consent” in the subject line. To view or retain a copy of this disclosure or information about your enrollment, you will need (a) a device with internet access and a web browser and (b) either a printer or storage space on such a device. For a free paper copy or to update contact records, email support@vitefait.fr with delivery details.

Entire Agreement:
These Terms, the Privacy Policy, and any other legal notices or policies posted by Vitefait constitute the entire agreement between you and Vitefait regarding the platform or professional services obtained via the platform.

Vitefait does not guarantee that the platform or services will meet your requirements or be uninterrupted, secure, or error-free. Vitefait is not responsible for damages to your equipment or property resulting from platform use. Vitefait is not responsible for defamatory, offensive, or illegal conduct by third parties, nor for losses incurred from data, information, materials, substances, or collective content provided through the platform.

No oral or written advice from Vitefait creates any warranty not expressly stated herein.

You are solely responsible for communications and interactions with other users or third parties resulting from platform use. Vitefait does not verify user statements or review services. No representation or warranty is made regarding the conduct or compatibility of users with each other. Reasonable precautions must be taken in all communications and interactions.

Vitefait explicitly disclaims liability for any act or omission by any user or third party. While Vitefait may provide contact details verified via basic technical checks (phone via SMS, email via email API), it does not guarantee the accuracy, validity, or subsequent use of this information.


Additional Provisions

Severability: If any provision is found invalid by a competent court, the remaining provisions remain in full force.

Waiver: Failure to enforce any provision does not constitute a waiver of that or any other provision.

Limitation Period: Any claim related to the platform or services must be brought within one (1) year of the cause of action; otherwise, it is permanently barred.

Section Titles: Titles are for convenience only and have no legal effect.

6.1 Role as a Technical Intermediary

Vitefait acts solely as a technical intermediary connecting individuals and professionals.

Main Functions:

  • Allow individuals to post needs and professionals to offer services.

  • Provide tools for communication and exchange management (messaging, notifications, ratings).

No Direct Involvement:

  • Vitefait does not negotiate or conclude agreements between users.

  • The platform is not involved in executing or monitoring agreed services.

  • Vitefait provides only technical tools to help users organize appointments; it does not schedule, guarantee, or ensure calls.

Thus, Vitefait is not a party to contracts between individuals and professionals.


6.2 Limitations on Liability for User Interactions

As an intermediary, Vitefait disclaims liability for interactions between individuals and professionals:

User Responsibility:

  • Users are solely responsible for information they provide, commitments they make, and services delivered.

  • Disputes must be resolved directly between parties without involving Vitefait.

Exclusion of Liability:

  • Vitefait is not responsible for delays, cancellations, non-performance, payment failures, or other breaches in user relationships.

  • The platform does not guarantee individuals’ solvency or professionals’ reliability.

  • Users are responsible for verifying professionals’ authorization to practice.

  • Vitefait is not liable for regulated activities (medical, paramedical, legal, notarial, financial, or strictly regulated activities) or prohibited/inappropriate platform use (e.g., telemedical or legal advice without authorization).


6.3 No Guarantee on Service Quality

Vitefait does not guarantee the quality, reliability, or compliance of services provided by professionals.

Professional Responsibility:

  • Each professional is solely responsible for service quality and customer satisfaction.

  • Vitefait does not systematically verify qualifications or services.

Ratings and Reviews:

  • Reviews are provided by users and are solely their responsibility.
